Terms & Conditions

1. Scope of Application

These Terms & Conditions (T&C) apply to all business relationships between TET TenThirty GmbH (hereinafter "Provider") and the customer concluded via the platform www.semmily.com (hereinafter "Semmily"). Deviating terms of the customer are not recognized unless the Provider expressly agrees in writing.

2. Subject Matter of the Contract

The Provider offers the customer a web-based software for online appointment booking and client management as a Software-as-a-Service (SaaS). The exact scope of services depends on the selected pricing plan (Flex or Fix).

3. Conclusion of Contract and Registration

The contract is concluded upon the customer's registration on the platform and confirmation by the Provider. The customer is obligated to provide truthful and complete information during registration. Access to the customer account is protected by a personal password that the customer must keep confidential.

4. Prices and Payment

Current prices are available on the website under the "Pricing" section. All prices include the applicable value-added tax. Under the "Flex" plan, billing is per appointment booked online. Under the "Fix" plan, a monthly fee applies. Payment is made by bank transfer or through the payment methods offered on the platform.

5. Availability and Warranty

The Provider strives for the highest possible availability of the platform but cannot guarantee uninterrupted accessibility. Maintenance work is carried out outside regular business hours whenever possible. The Provider is not liable for outages caused by force majeure, disruptions from third-party providers, or circumstances attributable to the customer.

6. Data Protection

The Provider processes personal data of the customer in accordance with applicable data protection laws, in particular the GDPR. Details are set out in the Privacy Policy on the website.

7. Contract Duration and Termination

The "Flex" plan contract can be terminated at any time without notice. The "Fix" plan contract has a minimum term of one month and is automatically renewed for one additional month unless terminated with 14 days' notice before the end of the current term. The right to extraordinary termination for good cause remains unaffected.

8. Limitation of Liability

The Provider is fully liable in cases of intent and gross negligence. In cases of slight negligence, the Provider is only liable for breach of material contractual obligations, limited to foreseeable, contract-typical damage. Liability for indirect damages, consequential damages, and lost profits is excluded in cases of slight negligence.

9. Changes to the T&C

The Provider reserves the right to modify these T&C at any time. The customer will be informed of changes by email. The modified T&C are deemed accepted if the customer does not object within 30 days of receiving the change notification.

10. Final Provisions

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is Vienna, Austria. Should individual provisions of these T&C be or become invalid, the validity of the remaining provisions shall not be affected.
